Merchant & Payment Terms

Effective date: October 20, 2026

The merchant operating a storefront is the business selling its products or services to its customers. These terms explain how payments, payouts and merchant obligations work on Drip & Bake.

1. Merchant of record relationship

These Merchant & Payment Terms are an agreement between the merchant and Drip & Bake Inc., a corporation formed in Ontario, Canada, referred to here as "Drip & Bake". The merchant operating a storefront is the business selling its products or services to its customers. Drip & Bake provides software used to present the storefront, receive orders, coordinate operations and connect supported payment infrastructure. Drip & Bake does not become the seller of the merchant's products merely because the transaction occurs through a Drip & Bake-powered storefront.

2. Connected payment processors

Merchants may connect supported third-party payment processors such as Square or Stripe, with additional providers potentially offered later. The merchant must maintain its own valid account with the applicable processor and comply with that processor's terms, verification requirements and pricing.

Payment processor availability may vary by country, business type and processor eligibility.

3. Sales fees

Under Drip & Bake's intended platform model, Drip & Bake takes no percentage of merchant customer sales. This does not mean transactions are fee-free. The merchant's connected payment processor may charge its own processing, currency-conversion, dispute, chargeback or other fees under its agreement with the merchant.

4. Payouts

Customer payment processing and merchant payouts are handled through the connected processor according to that processor's rules and payout schedule. Drip & Bake does not guarantee a processor's payout timing and is not responsible for processor holds, reserves, verification requirements or account restrictions outside Drip & Bake's reasonable control.

5. Refunds, disputes and chargebacks

The merchant is responsible for its customer refund policy, issuing appropriate refunds, responding to disputes and chargebacks, and maintaining evidence required by its payment processor. Drip & Bake may provide software tools or order records that assist with these activities but does not assume the merchant's underlying customer obligations.

6. Taxes

Merchants are responsible for determining their tax obligations, configuring accurate tax information and remitting taxes to the appropriate authorities. Any Drip & Bake tax-calculation tools are operational tools and are not tax, accounting or legal advice.

7. Products, fulfillment and customer obligations

Merchants are solely responsible for products and services offered through their storefront, including descriptions, prices, availability, quality, preparation, pickup/delivery commitments, food safety, allergen disclosures, permits, licences, age or sale restrictions where applicable, refunds and customer support.

8. Fraud and security

Merchants must use reasonable security practices and promptly report suspected account compromise, fraudulent orders or unauthorized payment activity. Drip & Bake may restrict payment-related functionality where reasonably necessary to protect the platform, merchants or customers.

9. Payment data

Where possible, sensitive payment credentials should be collected and stored directly by the applicable payment processor rather than Drip & Bake. Drip & Bake may receive transaction identifiers, statuses, amounts and other metadata needed to operate ordering, reconciliation and support functions.

10. Changes to integrations

Third-party integrations may change, become unavailable or require additional configuration due to provider changes. Drip & Bake will take reasonable steps to communicate material integration changes affecting merchants where practical.

11. Selling alcohol

This section applies to a merchant that sells alcohol through its storefront. The merchant's owner accepts it by confirming, in the Service, that the merchant holds the licence it needs to sell alcohol where it trades.

  • The merchant is the seller. When a merchant sells alcohol through Drip & Bake, the merchant, not Drip & Bake, sells it. Drip & Bake provides the ordering and payment technology only.
  • Licences. The merchant confirms that it holds, and will keep in force, every licence, permit and endorsement it needs to sell alcohol for pickup or on its premises where it trades. The merchant will stop selling alcohol at once if any of them lapses, is suspended or does not cover a sale.
  • Hours and limits. The merchant is responsible for selling alcohol only during the hours, in the quantities, at the prices and in the containers its licence and local law allow. Drip & Bake does not check these for the merchant.
  • ID checks. The merchant and its staff will check valid government-issued photo ID before handing over or serving any order that holds alcohol, and will refuse anyone under the legal drinking age, without valid ID, or who appears intoxicated. The merchant will refund the alcohol in an order it refuses.
  • Training. The merchant is responsible for any server training its jurisdiction requires (for example, Smart Serve in Ontario).
  • Menu and taxes. The merchant is responsible for marking its alcohol as alcohol in the Service, describing it accurately, and charging and remitting the right taxes and deposits.
  • Platform limits. The merchant accepts the limits the Service applies to alcohol, including that alcohol cannot be included in pre-orders, subscriptions or loyalty rewards.
  • Suspension. Drip & Bake may turn off alcohol sales for a merchant, or for every merchant, at any time, for example if it learns of a breach of these terms or of the law.
  • Responsibility. The merchant is responsible for any claim, fine or loss arising from alcohol it sells, and will indemnify Drip & Bake against them, except where they arise from a failure of the Drip & Bake service itself.
